Terms & Conditions

for LOBECK Corporate Emotions

1. Scope of Application

These Terms and Conditions apply to all offers, services and contracts between
LOBECK Corporate Emotions, Borner Str. 14, 42349 Wuppertal, Germany
(hereinafter referred to as “Agency”) and its clients.

Any differing Terms and Conditions of the client shall not apply unless expressly agreed to in writing.


2. Subject of the Contract

The Agency provides services in the following fields:

  • Event and live communication
  • Planning and execution of events
  • Exhibition stand construction and trade show appearances
  • Incentive programmes and team experiences
  • Consulting, strategy and concept development

The precise scope of services results from the individual offer or project agreement.


3. Offers & Conclusion of Contract

All offers are non-binding and valid for 30 days.
A contract is concluded when:

  1. the client confirms the offer in writing or via email, or
  2. the Agency accepts the order in writing.

Verbal agreements only become valid when confirmed in writing.


4. Scope of Services & Changes

The agreed scope of services is binding.

Change requests (“Change Requests”) must be submitted in writing and may lead to:

  • additional effort
  • schedule adjustments
  • additional costs

The Agency will inform the client in advance.


5. Prices & Payment Terms

Unless otherwise agreed:

  • all prices are net plus statutory VAT
  • 50% of the project amount is due upon commissioning
  • the remaining 50% become due after project completion or event execution
  • invoices must be paid within 14 days without deduction

In case of late payment, statutory default interest pursuant to §§ 286, 288 BGB applies.


6. Third-Party Services

The Agency may commission third-party providers (e.g., technology, catering, staging, printing, moderators) to fulfil the project.

Contracts with third parties may be concluded:

  • in the name and on behalf of the Agency, or
  • in the name and on behalf of the client

This will be coordinated with the client in advance.


7. Cancellation by the Client

In the event of cancellation by the client, the following fees apply:

  • up to 60 days before the event: 25%
  • up to 30 days before the event: 50%
  • less than 30 days before the event: 75%
  • less than 7 days before the event: 100% of the agreed fee

Third-party services already commissioned will be charged at 100%.


8. Withdrawal / Termination by the Agency

The Agency may withdraw from the contract if:

  • the client fails to meet payment obligations
  • safety or feasibility concerns arise
  • force majeure prevents execution

Services already rendered must be paid by the client.


9. Liability

The Agency is liable only for damages caused intentionally or by gross negligence.

For slight negligence, liability exists only in cases of:

  • breach of essential contractual obligations (cardinal obligations), or
  • damages arising from injury to life, body or health

Further liability is excluded.

The client assumes responsibility for content provided (texts, images, logos).


10. Force Majeure

Events of force majeure (e.g. natural disasters, political events, pandemics, governmental restrictions) release both parties from their performance obligations for the duration of the disruption.

Costs for third-party services or services already rendered remain payable by the client.


11. Usage Rights

The Agency grants usage rights to concepts, designs and project results only after full payment.

Raw files, drafts, planning documents and presentations remain the property of the Agency.


12. Data Protection

The Agency processes personal data exclusively in accordance with GDPR regulations.

13. Final Provisions

German law applies.
If the client is a merchant under German commercial law (HGB), place of jurisdiction is Wuppertal.

Should individual provisions of these Terms and Conditions be invalid, the remaining provisions shall remain unaffected.
